Accord Manager Terms of Use OverviewPlease read these Terms of Use carefully as your use of the Accord Manager free or for fee products signifies you have read, understand, and agree to be bound by these Terms of Use. The terms “you”, “your”, or “User” refer to individuals or entities who accept these Terms of Use by becoming registered users of Accord Manager. Nothing in these Terms of Use shall provide third-party rights or benefits. Robust Decisions, Inc may change or modify these Terms of Use at any time and modifications shall be effective immediately upon posting to this web site: www.robustdecisions.com/decision-making-software/accord-manager-terms.php. You acknowledge and agree that Robust Decisions, Inc may notify you of such changes or modifications by posting them to this this URL location and Your use of the Accord Manager after such modifications have been made (as indicated by the “Updated: Month, Day, Year” date at the top of this page) shall constitute your acceptance of these Terms of Use as last revised. By using Accord Manager, You represent and warrant that you are at least eighteen years of age and/or otherwise recognized as being able to form a legally binding contract under applicable law. If you agree to Accord Manager Terms of Use on behalf of a corporate entity, you must have the legal authority to bind such corporate entity to these Terms of Use. If, after your agreement to these Terms of Use, Robust Decisions finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in these Terms of Use. If Robust Decisions, Inc believes an Accord Manager User account information is untrue, inaccurate, out-of-date or incomplete, Robust Decisions reserves the right to suspend or terminate your Accord Manager User account. You are solely responsible for the activity that occurs within your Accord Manager User account, whether authorized by you or not, and you must keep your account information secure. You must notify Robust Decisions immediately of any breach of security or unauthorized use of your Accord Manager User account. Robust Decisions will not be liable for any loss you incur due to any unauthorized use of your Accord Manager User account. 2. Accord Manager Terms of UseYou agree that your use of Accord Manager will comply with these Terms of Use and all applicable local, state, national and international laws, rules and regulations. You will not impersonate another User, submit information on behalf of another User, or collect personally identifiable information about another User without their prior written consent. Robust Decisions, Inc does not warrant that it backs-up any User information so users must agree to accept the risk the loss of any and all of your User information input into Accord Manager. Robust Decisions reserves the right to modify, change or discontinue any part of Accord Manager, including pricing and promotional materials, at any time. You will not use Accord Manager in a manner as determined by Robust Decisions, Inc to be illegal, or promotes or encourages illegal activity such as: defamatory, harassing, abusive or otherwise objectionable behavior, child pornography or the exploitation of children, hate speech, hate crime, terrorism, violence against people, animals, or property, or intolerance of or against any protected class, spam or other unsolicited bulk email, or computer or network hacking or cracking, infringes on the intellectual property rights of another User or any other person or entity; violation of the privacy or publicity rights of another User or entity, interferes with the operation of Accord Manager or any associated software product or agent entity business activities. 3. Limitation of Liability and Governing LawYou agree that Your use of Accord Manager shall be at your own risk and that Robust Decisions, Inc Accord Manager services are provided on an as it basis and that in no event shall Robust Decisions, Inc, its officers, employees, or agents be liable to You or a third party for any perceived or implied consequential damages associated with the use of Accord Manager. You also agree that cause of action arising out of use of Accord Manager will be commenced within 6 months otherwise such cause of action shall be permanently barred. You also agree that in no event will total aggregate Robust Decisions, Inc. liability exceed the total about paid by You for Accord Manager services.You agree to protect, defend, indemnify and hold harmless Robust Decisions and its officers, employees, and agents from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature including, without limitation, reasonable attorneys' fees, imposed upon or incurred by Robust Decisions, Inc resulting from Your use of Accord Mananger. These Terms of Use shall be governed in accordance with the federal laws of the United States and the state law of Oregon, whichever is applicable, without regard to conflict of laws principles.
